1. Parties and acceptance

These terms are between the organisation that opens a COLVO account (“you”, the “Customer”) and:

By accepting an invitation, creating an organisation or using the service you agree to these terms on behalf of your organisation and confirm you are authorised to do so.

2. The service

COLVO is a testing and runtime-control service for AI agents. COLVO Test replays scenarios against an isolated simulated environment and grades the observed state. COLVO Guard evaluates actions your agent proposes against a mandate you register, may require human approval, executes allowed actions through the provider connection you configure, and verifies the result. Features available to you depend on your plan and entitlements (pricing).

3. Accounts and access

Access is invite-only. You are responsible for who you invite, for the roles you assign (owner, editor, viewer) and for keeping credentials and API keys confidential.
API keys are shown once; you must store them securely and rotate or revoke them if exposed. Actions taken with your keys are yours.
You must provide accurate account information and keep it current.

4. Your responsibilities

Mandates and connections. You decide what your agent may do. A mandate you register is an instruction to us; we execute allowed actions on your behalf through the provider account you connect. You are responsible for the correctness of mandates, limits and provider credentials, and for having the right to act on the underlying accounts.
Human approvals. Where an action is held for review, the reviewer’s approval is your decision.
Your agent. You are responsible for your agent, its endpoint, its behaviour and its own compliance obligations.
Data. You must have a lawful basis to process the personal data you put through COLVO and to have us process it. The privacy policy and the Data Processing Agreement apply.
Acceptable use. No unlawful content or actions, no attempts to access other organisations’ data, no probing of the service’s security other than through the disclosure address on the security page, no resale without agreement, and no use that would harm the service or other customers. We may suspend access to protect the service or a third party and will tell you why.

5. Plans, fees and billing

Plans, prices, included usage and metered items are on the pricing page at the time of purchase. Prices exclude VAT unless stated.
Paid plans are billed monthly in advance through our payment processor, Stripe, once subscriptions are enabled; until then, plans are set by VLN under a written pilot agreement.
Usage beyond a plan’s included runs is refused or metered as stated on the pricing page; AI usage is metered at the cost shown per call and never billed as a hidden zero.
You may cancel at any time; the plan stays active until the end of the paid period. Fees are non-refundable except where required by law or stated in writing.
Entitlements enabled for a pilot outside a paid plan may be withdrawn with 14 days’ notice.

6. Data, confidentiality and security

Your data stays yours. We process it only to provide the service, as described in the privacy policy and DPA, and we keep it confidential. We protect it with the measures described on the security page. Evidence records are append-only by design; you can export them at any time and request deletion of your organisation, after which data is removed within 30 days except where retention is required by law or for backups that expire within 35 days.

7. AI features

Deterministic checks decide verdicts. AI-based features (semantic judge, guardrail judges, Test Architect, red team) are advisory, may be inaccurate and never override a state-based result. When you bring your own AI key, that provider’s terms apply to those calls; when you use the managed gateway, we meter and cap spend as configured.

8. Service levels and support

During the pilot the service is provided without a formal uptime commitment; current health is on the status page. We provide support by email during Italian business hours and respond to security reports within two business days. Planned maintenance is announced in advance where possible.

9. Intellectual property

VLN owns the service, its software and documentation. You receive a non-exclusive, non-transferable right to use it under these terms. You own your scenarios, mandates, agent and data. You grant us the rights needed to operate the service. Feedback may be used to improve the product without obligation.

10. Warranties and liability

We will provide the service with reasonable skill and care. Otherwise the service is provided “as is”; we do not warrant that it will catch every wrong action or that your agent will behave correctly.
Neither party is liable for indirect or consequential loss. To the extent permitted by law, VLN’s total liability in any twelve-month period is limited to the fees you paid for the service in that period, or €1,000 if you paid none.
Nothing limits liability for wilful misconduct, gross negligence, death or personal injury, or where the law does not allow it.

11. Suspension and termination

Either party may terminate for convenience at the end of a billing period, or immediately for material breach not cured within 14 days of notice. We may suspend access to protect the service, other customers or third parties. On termination, access ends and data is handled as described in section 6.

12. Changes

We may update these terms; material changes are notified to organisation owners by email at least 30 days before they take effect. Continued use after that date is acceptance.

13. Governing law and disputes

These terms are governed by the laws of Italy. The courts of the place of VLN’s registered office have jurisdiction, without prejudice to mandatory consumer or local-law rights. EU customers may also use the European Commission’s online dispute resolution platform where applicable.
